1. POSITION VACANT: Manager - Legal & Compliance, Leading CSR Foundation, Mumbai

Our client works with credible institutions, non-government organisations, government agencies and domain experts to execute the social initiatives.

 

3. JOB DESCRIPTION/ RESPONSIBILITIES:

 

The Manager - Legal & Compliance (MLC) shall be responsible for executing legal operations and providing support to the Lead – Legal & Compliance and the rest of the Foundation members in adhering to compliance requirements. S/he will implement the legal and compliance strategy and execute all activities related to compliance, trademarks, and copyrights of the Foundation to ensure smooth and uninterrupted operations.

 

The MLC will also be responsible for ensuring adherence to legal processes within the Foundation to effectively manage legal and contractual risks. This includes managing partnerships with NGOs, conducting internal checks, and maintaining internal documentation according to the Foundation's processes, the Bombay Public Trusts Act requirements, Companies Act, 2013 CSR requirements, FCRA, and the Income Tax Act.

 

Key Job Responsibilities:

 

(A) Documentation and Compliance
(1) Demonstrate comprehensive knowledge of compliance management, best practices, and internal control mechanisms;

(2) Provide advice and coordinate with internal stakeholders to resolve various legal and compliance queries effectively;

(3) Maintain and renew agreements, contracts, and organizational records, ensuring compliance with legal requirements;

(4) Draft minutes of meetings and agendas, ensuring alignment with trust governance structures and legal standards;

(5) Draft and evaluate agreements and MOUs, conduct due diligence on collaborating entities, and ensure compliance with statutory requirements and timelines for agreement closure and renewal;

 

(B) Executing Contracts

(1) Prepare and review various legal contracts such as MOUs, Leases, and Employment Contracts, ensuring compliance with statutory requirements and legal standards;

(2) Analyze contract documents, provide accurate interpretations, and present observations to the Team Lead. Prepare justifications for complex inquiries, identify risks, propose alternatives, and suggest revisions to existing contract obligations;

(3) Facilitate communication with pertinent government offices and regulatory bodies as needed. Coordinate consultations with consultants to resolve legal inquiries and ensure adherence to regulatory standards;

 

(C) Cross-Functional Support

(1) Lead with a strategic focus while effectively managing operational challenges;

(2) Stay updated on relevant laws pertaining to foundations and CSR;

(3) Educate and assist the organization's team on legal matters to enhance their understanding and compliance;

(4) Evaluate the implications of all contracts and documents for the organization, ensuring that management is kept informed.

 

4. QUALIFICATIONS, EXPERIENCE AND COMPETENCIES:

 

Qualification

(1) Applicants must have an LLB or LLM or Company Secretary degree from a reputed institute or university;

(2) Prior experience of working with any legal firm or CSR consulting firm will be an advantage;

(3) Any additional qualifications in social sector will be an added advantage.

 

Relevant Experience:

(1) Minimum five to six years of experience in managing legal documents or MOUs for corporate foundations or non-profit organizations;

(2) Regular travel to the organisation’s other offices within the state

 

SKILLS AND COMPETENCIES:

(1) Excellent oral and written communication in English, Hindi and Marathi;

(2) Must be able to work independently, under pressure from deadlines, and in a challenging situation

(3) Strong interpersonal, communication and liaison skills;

(4) Excellent Computer skills (MS Office), Excel and Powe point.

 

5. COMPENSATION OFFERED:

 

Gross compensation budgeted for the position is attractive. Please note that the offer made to the selected candidate shall be commensurate with qualifications, experience, and salary history.
